Sponsorship Terms & Conditions

1. Operator and Scope
These Terms & Conditions (“Terms”) govern purchases made through the online marketplace and commercial booking areas of miss-bulgaria.com (the “Website”), operated by HOLLYWOOD INFLUENCE EOOD, UIC 207146091, VAT No. BG207146091, with registered address at 9 General Kovachev Str., 1415 Sofia, Bulgaria (“Hollywood Influence”, “Miss Bulgaria”, “we”, “us”).
These Terms apply to all paid commercial activations offered through the Website, including sponsorship packages, Grand Final sponsorship and event activations, brand activations, appearances, social-media services, photoshoots, add-ons and other commercial services or packages made available for online purchase.
Specific product, package or activation descriptions displayed on the Website at the time of purchase form part of the agreement. If a specific written agreement signed by Hollywood Influence and the customer expressly conflicts with these Terms, the signed agreement prevails to the extent of that conflict.
2. Customers: Companies and Individuals
Purchases may be made by legal entities or by individuals. The customer is responsible for providing complete and accurate billing, contact and, where applicable, company information at checkout.
A person purchasing on behalf of a company confirms that he or she is authorised to make the purchase and bind that company.
Where the purchaser qualifies as a consumer under mandatory Bulgarian or EU law, nothing in these Terms limits rights that cannot lawfully be excluded or restricted.
3. Packages, Services and Availability
The content, quantity, duration, timing, visibility, deliverables and other benefits of each activation are those stated on the relevant Website page at the time the order is placed, together with any written specifications expressly accepted by Hollywood Influence.
Certain packages, placements, jury positions, naming opportunities, appearances or other activations may be limited in quantity or subject to availability. A successful order does not entitle the customer to benefits beyond those included in the purchased package.
Where a benefit requires customer materials, approvals, logos, products, personnel or other cooperation, the customer must provide them within the deadlines reasonably communicated by Hollywood Influence.
4. Orders and Formation of Contract
By placing an order, the customer confirms that the order information is accurate, that the customer has reviewed the relevant package or service description, and that the customer accepts these Terms.
The customer must accept these Terms through the mandatory checkout checkbox before an order can be placed.
The contract is concluded when payment is successfully completed and the order is accepted/confirmed by Hollywood Influence, subject to payment verification, availability and any additional eligibility or brand-suitability conditions expressly stated for the relevant activation.
Hollywood Influence may reject or cancel an order where there is an obvious pricing or technical error, suspected fraud, unlawful or inappropriate proposed brand activity, a conflict with an existing exclusivity commitment, or another material reason preventing lawful or proper fulfilment. In such case, amounts paid for the affected and undelivered order will be refunded.
5. Prices, Promotional Codes and Payment
Unless otherwise stated, the customer must pay 100% of the final price displayed at checkout before the activation or service is confirmed.
Where a valid promotional or discount code is applied, the discounted amount shown at checkout becomes the final amount payable. The order and invoice/accounting documentation may show the original price, discount and final amount as applicable.
Promotional codes may be subject to validity periods, usage limits, eligibility conditions and exclusions. They have no cash value and cannot be exchanged for cash.
Payments are processed through the payment methods made available at checkout. The customer is responsible for ensuring that payment information is valid and that the payment is authorised.
6. Invoicing
Invoices or other applicable accounting documents will be issued using the billing information provided by the customer. Customers purchasing on behalf of a company must provide the required company details at checkout.
The customer must verify billing information before submitting the order and promptly notify Hollywood Influence of any error. Changes to issued accounting documents are subject to applicable Bulgarian accounting and tax rules.
7. Customer Materials and Brand Obligations
The customer warrants that it has all necessary rights and permissions for any logos, trademarks, images, videos, advertising materials, products, music, copy or other content supplied for an activation.
The customer grants Hollywood Influence a non-exclusive right, for the duration and purposes necessary to fulfil the purchased activation, to reproduce, display and otherwise use those materials in connection with Miss Bulgaria, the relevant event, campaign and agreed promotional deliverables.
Customer materials must not be unlawful, misleading, defamatory, discriminatory, infringing, unsafe or otherwise reasonably likely to damage Miss Bulgaria, its participants, partners, audience or reputation. Hollywood Influence may request reasonable modifications or refuse unlawful/inappropriate materials.
8. Miss Bulgaria Name, Logo and Intellectual Property
All rights in the Miss Bulgaria name, logos, event branding, website content, photographs, videos and other intellectual property remain with Hollywood Influence or the relevant rights holder.
A purchase does not grant the customer ownership of Miss Bulgaria intellectual property. Any right to use the Miss Bulgaria name, logo, images or event designation is limited to what is expressly included in the purchased package or separately approved in writing.
The customer may not imply an endorsement, title sponsorship, exclusivity or official status beyond the rights expressly purchased.
Except where expressly authorised by Hollywood Influence or permitted by applicable law, Website content may not be copied, reproduced, modified, distributed, published or used for commercial purposes without prior written permission from the relevant rights holder.
9. Scheduling, Approvals and Delivery
Dates, posting windows, appearance times, production schedules, brand integrations and other operational details may require coordination and reasonable approval by Hollywood Influence.
Where a package includes social-media content, appearances, photoshoots or other talent-dependent services, reasonable scheduling changes may be necessary because of production, event, media, travel, health, safety or force-majeure circumstances. Hollywood Influence will use reasonable efforts to provide the purchased benefit or a commercially reasonable equivalent.
The customer must provide required materials and approvals on time. Hollywood Influence is not responsible for delay or non-performance caused by the customer’s failure to cooperate or provide required materials.
10. Grand Final Postponement or Cancellation
If a Miss Bulgaria Grand Final or other event connected to a purchased activation is postponed, the event-related activation will automatically transfer to the rescheduled date. Postponement alone does not create an automatic right to a refund.
If the relevant Grand Final cannot reasonably be held on a rescheduled date, the undelivered event-related activation will transfer to the next Miss Bulgaria Grand Final, with the purchased benefits preserved or, where an identical benefit is no longer reasonably available, replaced by a commercially reasonable equivalent of comparable value.
If Hollywood Influence ultimately cannot provide the purchased benefit, or a commercially reasonable equivalent, the customer will be entitled to an appropriate refund for the affected undelivered benefit, subject to mandatory law.
Benefits already delivered before a postponement or cancellation remain delivered and are not refundable solely because another part of the event or package is postponed or cancelled.
11. Customer Cancellation and Refunds
Except where mandatory law provides otherwise, confirmed commercial activations and sponsorship packages are non-cancellable and non-refundable by the customer after purchase because capacity, inventory, event rights, production resources, talent time and/or commercial opportunities may be reserved following confirmation.
No refund is due where non-performance results from the customer’s failure to provide required materials, approvals, products, personnel, travel arrangements or other agreed cooperation.
Where the purchaser is a consumer, any statutory withdrawal or refund rights that cannot legally be waived remain unaffected. Certain services connected with leisure activities or events for a specific date or period may be exempt from the statutory withdrawal right under applicable consumer law.
12. Appearances, Travel and Production Costs
Where an activation includes an appearance, photoshoot or other service requiring travel, any travel, local transportation, accommodation, production or other costs stated on the relevant product page as payable by the customer are additional to the package price unless expressly included.
Travel and accommodation arrangements, where required, must be agreed in advance. Hollywood Influence is not required to perform an activation where necessary agreed travel or production arrangements have not been provided or paid for by the customer.
13. Changes and Equivalent Benefits
The nature of live events, media production and public-figure schedules may require reasonable operational changes. Hollywood Influence may make reasonable changes to timing, format, placement, production or delivery where necessary, provided that the overall commercial value and essential nature of the purchased activation are not materially reduced.
Where an exact benefit becomes impossible or unavailable for reasons outside reasonable control, Hollywood Influence may offer a comparable substitute benefit. This does not affect mandatory rights where the substitute would not constitute proper performance under applicable law.
14. Force Majeure
Hollywood Influence will not be liable for delay or failure caused by circumstances beyond its reasonable control, including severe weather, natural disaster, fire, epidemic, governmental restrictions, war, terrorism, civil disorder, strikes, venue closure, infrastructure failure, major technical failure, security threats, acts of public authorities or other force-majeure events.
In such circumstances, Hollywood Influence may postpone, relocate, modify or reschedule the affected activation or event and will apply the transfer/equivalent-benefit principles set out in these Terms.
15. Liability
Hollywood Influence is responsible for performing the purchased services with reasonable professional care and in accordance with the agreed package.
To the maximum extent permitted by applicable law, Hollywood Influence is not liable for indirect or consequential losses, loss of profit, loss of opportunity or reputational loss arising from a commercial activation, except where such limitation is prohibited by law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct or other liability protected by mandatory law.
Hollywood Influence uses reasonable efforts to maintain the Website and keep information accurate and up to date, but does not guarantee that the Website will be uninterrupted, continuously available, error-free or that all Website content will at all times be complete, accurate or current.
To the maximum extent permitted by applicable law, Hollywood Influence is not responsible for temporary Website unavailability, technical interruptions, the customer’s internet connection, or failures of third-party platforms and services outside Hollywood Influence’s reasonable control.
Users must not use the Website in a manner that violates applicable law, infringes third-party rights, interferes with or compromises Website security or operation, attempts unauthorised access, introduces malicious code, or deliberately overloads or disrupts the Website.
16. Data Protection
Personal data collected in connection with orders and activations is processed in accordance with the Miss Bulgaria Privacy Policy published on the Website. The Privacy Policy forms a separate notice and does not replace these commercial Terms.
17. Complaints and Communications
Questions, complaints or notices concerning an order should be sent to gael@hollywood-influence.com, quoting the relevant order number where available.
The parties should first attempt in good faith to resolve any dispute directly and promptly.
18. Governing Law and Jurisdiction
These Terms and contracts concluded through the Website are governed by the laws of the Republic of Bulgaria, without prejudice to any mandatory consumer protections applicable under EU or other applicable law.
Disputes will be submitted to the competent Bulgarian courts, except where mandatory consumer-protection rules provide a consumer with the right to bring proceedings before another competent court.
19. Amendments
Hollywood Influence may update these Terms from time to time. The version applicable to an order is the version made available to the customer at the time the order is placed, unless a later change is required by mandatory law or expressly agreed by the parties.
